2 / PricesUnless otherwise specified, our goods are invoiced at the price in forceon the day of the order confirmation. The price is quoted ex works, bare goodsor in standard packaging. Any special packaging will be charged extra.
3 / Delivery and delivery timesAll our goods travel at the risk and peril of the recipient. Deliverytimes are given only as an indication and any delays do not entitle the buyerto cancel the sale, refuse the goods or claim damages.
4 / PaymentsOur invoices are payable in euros, at our head office, by any method ofpayment within the time limits specified on our invoices. The settlements willonly become effective once the amount has been credited to our bank account.The seller reserves the right to cancel deliveries of pending orders or topostpone them until full payment of unpaid invoices has been received. In thiscase, the buyer may not claim any damage or compensation due to non-deliveriesor delays in delivery.Failure to pay on any of the due dates will result in:-the immediate payment of all outstanding amounts,-In accordance with Article L. 441-6 of the French Commercial Code, latepayment penalties are due for non-payment on the day following the payment date indicated on the invoice. 5 / Retention of title clauseThe transfer of ownership of the products sold is subject to fullpayment of the price of the goods on the due date agreed between the parties,ancillary costs and taxes. Failure to pay at any of the due dates may result inthe goods being claimed. However, the risks inherent in the product and its transportation are transferred as soon as they are taken over by the carrier.
6 / Risks / Insurance / Claims The buyer undertakes to insure the products for whose benefit it belongsagainst all risks they may run or cause as soon as they are shipped.The buyer is responsible for the proper maintenance of the products soldunder retention of title and will pay the costs of repairs if he has to returnthem unpaid. The return of unpaid products will be due by the defaulting buyer,at his own expense and risk, upon formal notice from the seller by registeredletter. In the event of delivery of products that do not comply with thespecifications of the order, the seller's liability is strictly limited to theobligation to take back the goods, excluding any damages.Any complaint to be valid must be made by mail, within 8 days of receiptof the goods and before any handling, processing, cutting etc...
7/ Fortuitous events and force majeureThe company is released from the obligation to deliver for all fortuitous circumstances and force majeure. In particular, total or partial strikes, floods and fires, etc., are considered as fortuitous events.
